Terms of Service

Welcome to PhotoSell. By accessing or using our platform, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.

1. Accounts

Registration

To use certain features of PhotoSell, you must create an account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

Account types

• Photographer accounts: For individuals or businesses who wish to create galleries and sell photos through the platform.
• Customer accounts: For individuals who purchase photos. Customers may also check out as guests without creating an account.

Account termination

You may delete your account at any time through your account settings. We may suspend or terminate accounts that violate these Terms or for any other reason with reasonable notice.

2. Content

Your content

You retain full ownership of all photos and content you upload to PhotoSell. By uploading content, you grant us a limited, non-exclusive license to host, display, process (e.g., resize, watermark), and distribute your content solely for the purpose of operating the platform and fulfilling orders.

Content guidelines

You agree not to upload content that:

• Infringes on any third party's intellectual property rights
• Contains illegal, harmful, or explicit material not marked as such
• Violates any applicable laws or regulations
• Contains malware or other harmful code
• Misrepresents your identity or affiliation

Content removal

We reserve the right to remove content that violates these Terms or our content guidelines. We will make reasonable efforts to notify you before removing content, except in cases requiring immediate action.

3. Payments

Photographer payouts

When a customer purchases your photos, we process the payment and transfer the full proceeds to you. PhotoSell charges 0% commission on all plans — you keep 100% of your sales revenue.

Payout methods

Payouts are available via Stripe Connect (for international transfers) and Vietnamese bank transfer (for domestic accounts). Payout schedules and minimum thresholds may apply.

Subscription billing

Paid subscription plans are billed monthly or annually. You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect at the next billing cycle. Refunds for partial billing periods are not provided.

Taxes

You are responsible for determining and paying any taxes applicable to your earnings from the platform. PhotoSell does not withhold taxes on your behalf.

4. Intellectual Property

The PhotoSell platform, including its design, code, features, and branding, is owned by PhotoSell and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform without our prior written consent.

5. Limitation of Liability

To the maximum extent permitted by law, PhotoSell shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

6. Disclaimers

The platform is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or secure at all times.

7. Indemnification

You agree to indemnify and hold harmless PhotoSell, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, your content, or your violation of these Terms.

8. Dispute Resolution

Any disputes arising from these Terms or your use of the platform shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the Vietnam International Arbitration Centre (VIAC).

9. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Your continued use of the platform after changes become effective constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.
